About these terms

These Terms of Service ("Terms") are an agreement between you and Versatile Synergy Capital Corp., operating as Versatile Global Media ("VGM", "we", "us"). By using versatileglobalmedia.com or the VGM client portal, you agree to these Terms. If you're using the portal on behalf of a business, you confirm that you're authorized to accept these Terms for that business.

Our website

Content on our website, including service descriptions, packages, case studies, and results, is for general information. It is not an offer or a guarantee of specific outcomes. Pricing and scope are only binding once they're set out in a written quote or signed agreement.

Portal accounts

• Portal accounts are created by VGM for our clients and their authorized staff.
• Keep your sign-in details confidential. You're responsible for activity under your account, so tell us right away if you think someone else has accessed it.
• Keep your account details (name, email, billing contact) accurate and up to date.
• We may suspend or close access if an account is misused, if a security issue requires it, or as permitted by your service agreement (for example, for overdue payments).

Acceptable use

You agree not to:

• try to access accounts, data, or areas of the portal that aren't yours;
• interfere with, probe, overload, or attempt to bypass the security of our website, portal, or systems;
• upload anything unlawful, infringing, or malicious, including viruses or harmful code;
• copy, resell, or reverse-engineer the portal, or use it to build a competing product; or
• use our services in a way that breaks any law or infringes anyone's rights.

Invoices and payments

Fees, payment schedules, minimum terms, late fees, and service suspension rules are set by your signed service agreement. The portal lets you view invoices and pay them. Payments are processed by third-party processors (Stripe or Helcim) under their own terms, and VGM never stores your full card or bank details. Amounts are in Canadian dollars and include applicable taxes (such as HST) unless stated otherwise.

Electronic signatures

You agree that contracts and documents may be sent, reviewed, and signed electronically through the portal, and that your electronic signature is as legally binding as a handwritten one, consistent with Ontario's Electronic Commerce Act, 2000. Each signature is recorded with a time-stamped audit trail (including the signer's email and IP address) as described in our Privacy Policy. You can ask for a paper copy of any agreement you've signed.

Your content and our content

Your content. You keep ownership of the materials you give us (logos, photos, text, files, and other content). You give us permission to use them to deliver your services, and you confirm you have the rights to share them.

Our content. Our website, the portal, and our software, designs, templates, and tools are owned by VGM and protected by intellectual property law. Using the portal doesn't transfer any ownership to you. Ownership of work we create for you is set out in your service agreement.

Analytics and reports

Traffic, search, speed, and uptime reports in the portal come from third-party sources such as Google Analytics, Google Search Console, and Google PageSpeed. They're provided for information. We present them as accurately as we can, but we can't guarantee that third-party data is complete or error-free, and it shouldn't be the sole basis for major business decisions.

Third-party services

Our website and portal rely on third-party providers, including hosting, authentication, payment processing, analytics, and booking tools. Their services are governed by their own terms, and we aren't responsible for their outages, errors, or changes. Links to other websites are provided for convenience only.

Availability and changes

We work to keep the portal available and secure, but we don't guarantee it will always be uninterrupted or error-free. We may update, add, or remove portal features over time. Features marked "Soon" are previews and aren't promised on any timeline. Any uptime or support commitments are set out in your service agreement.

Disclaimer

Apart from commitments in your signed service agreement, our website and portal are provided "as is" and "as available". To the extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, VGM won't be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of our website or portal. Our total liability for any claim relating to the website or portal is limited as set out in your service agreement or, if you don't have one, to one hundred Canadian dollars (CA$100).

Indemnity

You agree to indemnify and hold VGM harmless from claims, losses, and reasonable legal fees arising from your misuse of the website or portal, content you provide, or your breach of these Terms.

Ending access

Portal access normally ends when your service agreement ends. We may suspend access sooner for a serious breach of these Terms. Sections that by their nature should survive (such as ownership, disclaimers, liability limits, and indemnity) continue after access ends. If you'd like a copy of your invoices or signed contracts before your access ends, just ask.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario.

Changes to these terms

We may update these Terms from time to time. The effective date at the top always shows the latest version. If we make significant changes, we'll let portal clients know. Continuing to use the website or portal after an update means you accept the new Terms.
